Initial public offer of up to 24,55,200 equity shares of face value of Rs. 10 each ("Equity Shares") of the company at a price of Rs. 151-159 per equity share ("Offer Price") (including a share premium of Rs. 141-149 per equity share) for cash, aggregating up to Rs. 37.07-39.04 Crores ("Public Offer") comprising a fresh issue of up to 19,89,400 equity shares of face value of Rs. 10 each aggregating to Rs. 30.04-31.63 Crores (the "Fresh Issue") and an offer for sale of up to 4,65,800 equity shares of face value of Rs. 10 each comprising of up to 1,78,048 equity shares by Alka Nikhil Javeri, up to 87,000 equity shares by Dhruv Nikhil Javeri, up to 87,000 equity shares by Dhumil Nikhil Javeri, up to 28,471 equity shares by Deepti Choudhary, up to 16,040 equity shares by Chandra Prakash Toshniwal, up to 16,000 equity shares by Utsav Verma, up to 13,634 equity shares by Arun Deep Bakshi, up to 6,255 equity shares by Uttam Pal Singh, up to 5,614 equity shares by Rahul Mahajan, up to 5,600 equity shares by Sonal Agarwal, up to 4,500 equity shares by Lakshminarayanan Karthik, up to 4,010 equity shares by Abhijit Saxena, up to 4,010 equity shares by Preeti Bahl, up to 4,010 equity shares by Nanhi Singh, up to 2,000 equity shares by Nirmal Kumar Meharia, up to 1,604 equity shares by Aakash Choudhary, up to 1,002 equity shares by Abhijeet Kumar and up to 1,002 equity shares by Ashish Sarser (" selling shareholders") ("offer for sale") aggregating to Rs. 7.04-7.41 Crores, out of which 1,23,200 equity shares of face value of Rs. 10 each, at an offer price of Rs. 151-159 per equity share (including a share premium of Rs. 141-149 per equity share) for cash, aggregating Rs. 1.86-1.96 Crores will be reserved for subscription by the market maker to the offer (the "Market Maker Reservation Portion"). The public offer less market maker reservation portion i.e. offer of 23,32,000 equity shares of face value of Rs. 10 each, at an offer price of Rs. 151-159 per equity share for cash, aggregating up to Rs. 35.21-37.08 Crores is hereinafter referred to as the "Net Offer". The public offer and net offer will constitute 26.35% and 25.03% respectively of the post- offer paid-up equity share capital of the company. Price Band: Rs. 151/- to Rs. 159/- per equity share of face value Rs. 10/- each. The floor price is 15.1 times the face value and cap price is 15.90 times the face value of the equity shares. Bids can be made for a minimum of 1600 equity shares and in multiples of 800 equity shares thereafter.
