Himalayan Solar Ltd
Initial public offer of up to 66,04,800 equity shares of face value of Rs. 10 each ("Equity Shares") of Himalayan solar Limited (the "Company" or the "Issuer") for cash at a price of Rs. 103 per equity share, including a share premium of Rs. 93 per equity share (the "Issue Price"), aggregating to Rs. 68.03 Crores ("the Issue"), comprising a fresh issue of up to 58,90,800 equity shares aggregating to Rs. 60.68 Crores by the company ("Fresh Issue") and an offer for sale of up to 7,14,000 equity shares by Karthyayini M ("the Promoter Selling Shareholder" or "Selling Shareholder") aggregating to Rs. 7.35 Crores ("Offer For Sale"). Out of the offer up to 3,31,200 equity shares of face value of Rs. 10 each for cash at a price of Rs. 103 per equity share, aggregating to Rs. 3.41 Crores will be reserved for subscriptions by the market maker to the issue (the "Market Maker Reservation Portion"). The issue less market maker reservation portion i.e. issue of 62,73,600 equity shares of face value of Rs. 10 each for cash at a price of Rs. 103 per equity share, aggregating to Rs. 64.62 Crores is here in after referred to as the "Net Issue". The issue and the net issue will constitute 29.87% and 28.37% respectively of the post issue paid-up equity share capital of the company. Price Band: Rs. 103/- per equity share of face value of Rs. 10/- each. The floor price is 10.3 times of the face value of the equity shares. Bids can be made for a minimum of 2400 equity shares and in multiples of 1200 equity shares thereafter.
