Om Galaxy Ltd
Initial public offer of up to 1,16,67,200 equity shares of face value of Rs. 5 each (the "Equity Shares") of OM Galaxy Limited ("The Company" or "The Issuer") at an issue price of Rs. 90 per equity share (including share premium of Rs. 85 per equity share) for cash, aggregating up to Rs. 105 Crores ("Public Issue") out of which 5,84,000 equity shares of face value of Rs. 5 each, at an issue price of Rs. 90 per equity share for cash, aggregating Rs. 5.26 Crores will be reserved for subscription by the market maker to the issue (the "Market Maker Reservation Portion"). The public issue less market maker reservation portion i.e. Issue of upto 1,10,83,200 equity shares of face value of Rs. 5 each, at an issue price of Rs. 90 per equity share for cash, aggregating up to Rs. 99.75 Crores is herein after referred to as the "Net Issue". The public issue and net issue will constitute [*]% and [*]%respectively of the post- issue paid-up equity share capital of the company. The company,in consultation with the brlm, may consider a further issue of specified securities, through a preferential issue or any other method as may be permitted under the applicable law to any person(s), prior to filing of the red herring prospectus with the roc ("Pre-Ipo Placement"). The pre-ipo placement,if undertaken, will be at a price to be decided by the company, in consultation with the brlm. If the pre-ipo placement is completed, the amount raised pursuant to the pre-ipo placement will be reduced from the fresh issue, subject to compliance with rule 19(2)(b) of the scrr. The pre-ipo placement, if undertaken, shall not exceed 20% of the fresh issue size. If a pre-ipo placement is undertaken, the company shall report to the stock exchange, within twenty-four hours of such pre-ipo placement transactions (in part or in entirety). Prior to the completion of the issue, the company shall appropriately intimate the subscribers to the pre-ipo placement, prior to allotment pursuant to the pre-ipo placement, that there is no guarantee that the company may proceed with the issue or the issue may be successful and will result into listing of the equity shares on the stock exchange. Further,relevant disclosures in relation to such intimation to the subscribers to the pre-ipo placement (if undertaken) shall be appropriately made in the relevant sections of the red herring prospectus and the prospectus if and as required under applicable law. Price Band: Rs. 90 per equity share of face value of Rs. 5 each. The floor price is 18 times the face value of the equity shares. Bids can be made for a minimum of 3,200 equity shares and in multiples of 1,600 equity shares thereafter.
